GENERAL TERMS AND CONDITIONS


Classic Trim Aircraft Interior

  1. PREAMBLE
    Classic Trim Aircraft Interiors’, hereafter CTAI, General Terms & Conditions are binding for all deliveries and services performed by CTAI, unless overruled by specific project terms.

  2. DELIVERY TERMS 

    EXW (INCOTERMS 2020) CTAI facilities, unless otherwise specified. Any extra cost for “Off-site” activity is not included.

  3. DELIVERY TIME 

    Delivery time is evaluated based on CTAI capacity and subcontractor lead times upon receipt of order and will be confirmed on related order acknowledgement.


  4. PAYMENT TERMS 

    50% with order and 50% prior to delivery.

  5. WARRANTY

    CTAI’s work is subject to warranty for 24 months against faults or mistakes in quality and workmanship.

  6. VALIDITY 

    Pricing and terms are based on material pricing, world supply situation exchange and labor rates -and other terms at date of proposal is subject to change without notice until receipt of CTAI’s order confirmation.

  7. RESERVATIONS AND DEVIATIONS 

    a. The program will be handled according to CTAI’ and SA’s normal documentation procedures (EASA Part-145/ -21J/ -21G) for refurbishments and certification (as applicable) of the systems as specified above. Possible additional certification, operational approvals, exemptions, special applications or other additional work is not included unless specifically stated in the proposal.

    b. All information, data, proposals, deliveries etc. is subject to export regulations from country of manufacturer and involved SA division

    c. All pricing, delivery times and terms are based on best estimation at time of quotation and possible extra work, pricing and hours, when interior products are received and overlooked by CTAI, are not included. 

    d. CTAI holds the right to inspect the involved aircraft before project start.

    e. Unless otherwise agreed in writing, CTAI and buyer shall both be responsible for compliance with U.S. Government & EU export control laws and regulations. This also includes other possible entities regulating the transaction or possible re-export of the goods, services and technical data delivered under an order with The SA Group.

    f. CTAI shall not be responsible for any delay, non-delivery or non-performance being caused by export control laws, regulations, authorities, force majeure or any other factors outside CTAI’s control.

    g. CTAI is not responsible for possible misinterpretation, mistakes or deviations in the information/documentation provided to CTAI from buyer, authorities, OEMs or other sources, which might influence the terms and pricing in the proposal.

    h. Proposal is “best estimate” at time of proposal from information presented to CTAI and includes modification as specified with standard and required functions of the mentioned refurbishments. Non-required and optional features are not included if not specifically mentioned in the proposal, for example relocation (removal) of existing interior.

    i.  All CTAI’s work is performed in best quality and workmanship and in one running process according to agreed schedules. Unscheduled delays, interruptions, changes, waiting time or other factors outside CTAI’s control will be charged at CTAI’s normal rates.

    j.  A confirmed order, written or verbal, can be cancelled only with the written consent of CTAI and CTAI holds the right to claim full reimbursement of all costs and losses related to such cancellation. 

    k.  The proposal is confidential and must not be revealed to any third party except for aircraft owner-operator and involved authority
    (if applicable).


    l.  Termination: The agreement can be terminated for convenience by both parties with 60 days’ notice and must be informed in writing to the other party.

  8. BUYER OBLIGATIONS

    a
    . Buyer is obliged to provide full CMM aircraft documentation before start of work, for CTAI to contribute best estimate for proposal and execution possibilities.

    b. Buyer is responsible for relevant and / or required agreements with involved aircraft CAMO / maintenance / operational organizations.

    c. Buyer is responsible to obtain required permits to fly from involved authority.

    d
    . Buyer must upon request by CTAI, provide following current information and documentation:

    - AC owner’s authorization of the modification.
    - AC date of first COA, copies.
    - AC Registration, serial number and year of manufacture.
    - AC max & basic weight, balance and electrical load data.
    - AC Wiring manuals, current and up to date.
    - AC Equipment specifications.
    - AC AFM, Approved Flight Manual and/or Pilots operating handbook.
    - AC Maintenance manuals with IPC.AC Structural repair manuals.
    - AC OSD Constituents (as applicable):
              - Master Minimum Equipment List (CS-MMEL)
              - Cabin Crew Data (CS-CCD)
    - AC List of modifications performed since new.
    - Data or approvals from the AC manufacturer, typically not required.
    - Documentation and verification that aircraft, aircraft systems and possible modifications are certified and approved as basis for this     modification, according to requirements from involved authority.
    - Pictures of relevant areas in/on the aircraft.
    - Any other relevant information requested by SA.


  9. CERTIFICATION SPECIFICATIONS

    a.  CTAI will provide required certification package in SA’s EASA approved format and standards, and if the project is based on an existing approved certification package, aircraft “non-compliance” to the already approved concept may imply additional cost, to cover changes to the aircraft or the documentation package.

    b. Possible additions/amendments to already approved certification packages are not included, unless specifically mentioned in the proposal. 

    c.  Additional required tests, such as combinations test are not included in proposal. If necessary, this will be investigated by CTAI and informed to the customer before actions are taken.

    d. Requested data integration into aircraft documentation or customer specific requirements is not included.

    e. Minor and major (STC) classification of the modification is evaluated by CTAI at time of proposal and from type & complexity of the project. Possible re-classification or changes by EASA at time of application may add additional cost to the proposal.

    f.  STC-Major change applications completed certification packages and final ground/flight test documentation is delivered to EASA (or other involved authority) upon completion, for the final approval of the modification(s). Aircraft might be released with modification provisions under minor change approval, while certification package is under evaluation by the authority. If this is desired by the Buyer, additional cost for the minor change approval of the provisions will be charged in addition.

    g. Minor change certification packages are filed within SA’s Part-21J DOA for documentation of the technical approval of the modification. Certification packages filed under SA Ref. number as privileged under SA EASA Part-21J DOA approval.

    h. Certification package general overview. (Actual content to be developed during certification process, according to project specific certification requirements).

    - Technical Order (TO) with installation instructions of the design change.

    - Equipment qualification verification (E-TSO from equipment manufacturer)
    - Modification & Alteration report.
    - Equipment location and panel layouts.
    - Engineering order & Certification Programme
    - Description of change (unless included in the Engineering Order & Certification Programme
    - Equipment and drawing lists.
    - Floorplan after the change.
    - Emergency Equipment location (unless unchanged)
    - Electrical and structural drawings.
    - Electrical and structural load analysis.
    - System safety, signal and wire analysis
    - Wire routing diagrams with identification and markings.
    - Weight Change Summary.
    - EMI testing as required.
    - Ground Test Program & reporting.
    - Flight Test program & reporting (if applicable).

    - Instructions for Continued Airworthiness.
    - Part-21.A.3 statement.
    - Part-21.A.20 declaration of compliance.
    - Aircraft Flight Manual Supplement(s)
    - Configuration Sheet
    - Compliance recording to involved regulations (not delivered to customer).
    - Optional documentation as required by certifying authority or customer is not included and additional charges will apply (Ex. HIRF & Lightning test and/or assessment).

    i. Proposals does not include EASA standard fees, and fees connected with local CAA approvals (Permit to Fly) or similar charges from other third parties. Major change certification programs running for more than a year, will be subject to additional EASA fees.

    j.  Possible approval of BFE (Buyer Furnished Equipment), parts, documentation, data, procedures, etc. in order to fulfill EASA Part-21J certification requirements is not included. Generally, will DO160F section 4, 8, 15, 21 apply as minimum, still requirements will be assessed in each individual case.
